1. Introduction
Welcome to Cleverkites.com (“Website”, “we”, “our”, “us”). By accessing or using our website, purchasing our services, or subscribing to any of our maintenance plans, you agree to these Terms of Service (“Terms”).
Please read them carefully before engaging with our services. If you do not agree with these Terms, you may not access or use our website or services.
2. Services Offered
Cleverkites provides:
- Branding, logo, and visual identity design
- Website design and development
- E-commerce setup and Shopify customization
- Digital asset design and creative strategy
- Subscription-based services and Annual Maintenance Contracts (AMC) for website updates, backups, and security.
All services are custom-built or subscription-based as per your selected plan or proposal.
3. Pricing and Payments
- All prices are quoted in Indian Rupees (INR) or United States Dollars (USD) depending on your region and billing method.
- We accept payments via bank transfer, credit/debit cards, PayPal, Stripe, and UPI (India only).
- Project work begins only after receiving the agreed advance payment or first subscription fee.
- Remaining balances (for one-time projects) must be cleared before the final delivery or launch.
- Subscription or AMC payments are auto-renewed at the end of each billing cycle unless cancelled before the renewal date.
4. Refunds and Cancellations
Our Cancellation and Refund Policy governs how cancellations or refund requests are handled.
For recurring subscriptions, cancellations made after renewal are not eligible for refunds of the current billing cycle.
5. Revisions and Approvals
Each service package includes a specific number of design or development revisions, clearly stated in your proposal or subscription plan.
Additional revisions beyond that limit may be charged separately.
6. Ownership and Intellectual Property
Upon full and final payment, you (the client) own the final deliverables (designs, website files, or other project assets).
Exceptions:
- Third-party assets (fonts, stock photos, plugins, or frameworks) remain the property of their respective owners.
- Cleverkites retains the right to display completed work in its portfolio, marketing materials, and social media.
7. Subscription and AMC Terms
- Subscriptions and AMCs cover agreed services such as content updates, plugin management, backups, and performance monitoring.
- Support is provided during working hours (Mon–Fri, 10 AM – 6 PM IST) or as per the plan.
- Critical security issues are prioritized regardless of working hours.
- Plans renew automatically unless cancelled before renewal.
- Failure to make timely payments may lead to suspension or termination of maintenance services.
8. Limitation of Liability
Cleverkites is not liable for:
- Any loss of data, profit, or business arising from use or inability to use our services.
- Third-party downtime or failures (hosting providers, domain registrars, plugins, etc.).
Our total liability under any claim shall not exceed the amount paid by the client for the relevant project or subscription cycle.
9. Governing Law
These Terms are governed by the laws of India, and disputes shall be subject to the exclusive jurisdiction of courts in Maharashtra, India.
